Experience

James (Jim) Seaman concentrates his practice in general corporate law with an emphasis on sophisticated transactional work. He has more than 30 years of experience handling a variety of domestic and international business transactions on behalf of buyers, sellers, borrowers, lenders, and investors. The types of transactions that Jim has handled include buying and selling businesses and real estate, real estate development, mergers, recapitalizations and other forms of corporate restructurings. His clients range from the inventor or entrepreneur seeking advice on how to capitalize on a promising idea to well established family, investor and management-owned businesses needing advice on the legal aspects of their operations and a person who can successfully negotiate and close their deals.

His practice often requires forming limited liability companies and corporations, and preparing the documents that define the relationships of and provide exit strategies for members and shareholders. Jim has extensive experience with the contracts a business requires for its day-to-day operations, such as employment agreements, confidentiality agreements, product supply agreements, terms and conditions (including for websites) service agreements, distributor agreements, leases, and licensing agreements.

Jim has also represented financial institutions on regulatory compliance issues and financing transactions, including asset based lending and loans secured by real estate. He has successfully structured, supervised and closed many financing and capital raising transactions, representing both the issuer and the investor in private placement of debt and equity securities as well as the lender and the borrower on bank loans, loan modifications, and workout transactions.

Jim’s international business practice has included working with clients to acquire companies overseas, assisting clients to establish distribution and agency relationships, preparing and negotiating license and joint venture agreements, assisting clients with establishing companies overseas and advising clients regarding U.S. law compliance matters as such pertain to international business transactions.
